Client-Firm Framework

Institutional Terms

Version 3.2 // Finalized: April 10, 2026

1.0 Professional Mandate

These Institutional Terms govern the architectural and consulting services provided by Suurat Technologies. Engagement of our engineering laboratory constitutes formal acceptance of these protocols.

2.0 Service Implementation (SOW)

Every technical deployment is defined by a distinct Statement of Work. Any deviation from the defined SOW requires a formal Change Protocol. Suurat Technologies reserves the right to adjust architectural timelines based on evolving project complexity.

3.0 Fiscal Responsibilities

Payments are scheduled based on predefined technical milestones. Overdue accounts are subject to operational suspension of hosted systems. All fees are exclusive of sovereign taxes and hardware procurement costs.

4.0 Intellectual Property & Source Logic

Suurat Technologies retains ownership of all "Background Intellectual Property"—including proprietary libraries, frameworks, and logic patterns utilized in the deployment. The Client is granted a perpetual, non-exclusive license to utilize the specific deliverables defined in the SOW.

5.0 Deterministic Warranties

We warrant that all deliverables will perform according to the technical specifications defined in the SOW for a period of 90 days post-deployment ("Warranty Windows"). This does not cover anomalies caused by third-party environment modifications.

6.0 Limitation of Deterministic Liability

In no event shall Suurat Technologies be liable for indirect, consequential, or punitive damages. Total aggregate liability is strictly capped at the amount paid by the Client for the specific project segment causing the grievance.

7.0 Governing Jurisdiction

These terms are governed by the laws of the Federal Republic of Somalia. Any disputes not resolved through architectural mediation shall be settled primarily through binding arbitration in Mogadishu.
